Vancouver, British Columbia–(Newsfile Corp. – July 23, 2020) – GreenStar Biosciences Corp. (CSE: GSTR) (OTC Pink: GTSIF) (“GreenStar” or the “Company“), is pleased to announce that it has closed a non-brokered private placement of common shares for gross proceeds of $585,000 (the “Offering“). The Offering consisted of the issuance of an aggregate of 11,700,000 common shares in the capital of the Company (the “Shares“) at a price of $0.05 per Share. The Company also announces that it has entered into debt settlement agreements with three creditors for the settlement of debt in the aggregate amount of $75,000, which was settled through the issuance of an aggregate of 1,500,000 Shares at a deemed issue price of $0.05 per Share (the “Debt Settlement“).
Proceeds from the Offering are expected to be used for legal and other costs associated with closing the previously announced acquisition of Eleusian Biosciences Corp., marketing expenses and general working capital purposes. No finders fees were paid in connection with the Offering.
As the Company’s Chief Executive Officer participated in the Debt Settlement as to the settlement of $20,000 of debt, it is considered to be a “related party transaction” under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101“). The Company is relying on exemptions from the formal valuation and minority approval requirements of MI 61-101, based on a determination that the securities of the Company are only listed on the CSE and that the fair market value of the Shares issued in connection with the Debt Settlement does not exceed $2,500,000 or 25% of the market capitalization of the Company. As the material change report disclosing the Debt Settlement is being filed less than 21 days before the transaction, there is a requirement under MI 61‐101 to explain why the shorter period was reasonable or necessary in the circumstances. In the view of the Company it was necessary to immediately close the Debt Settlement and therefore, such shorter period was reasonable in the circumstances.
All Shares issued pursuant to the Offering and Debt Settlement are subject to a statutory four month and one day hold period from the date of issue in accordance with applicable Canadian securities laws. None of the Shares will be registered under the United States Securities Act of 1933, as amended, and none may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
