In excess of $5 Million cash on hand to evaluate new product candidates including psychedelic product research opportunities and support existing product line launch

VANCOUVER, BC, Nov. 19, 2020 – Mind Cure Health Inc. (CSE: MCUR) (OTCQB: MCURF) (FRA: 6MH) (“Mind Cure” or the “Company”) is pleased to announce that is has closed, on an oversubscribed basis, its previously announced non-brokered private placement (the “Offering“). The Company issued 8,000,000 units (the “Units“) at a price of $0.45 per Unit for gross proceeds of $3,600,000.

Each Unit consists of one common share and one common share purchase warrant (each, a “Warrant“). Each Warrant is exercisable into one common share in the capital of the Company at an exercise price of $0.60 per share for a period of 24 months after the date of issue. This Offering was completed under a number of available prospectus exemptions, including the accredited investor exemption.

All securities issued pursuant to the Offering are subject to hold period of four months and a day from the date of closing. No fees or compensation are payable to any finders in connection with the Offering.
